1. Service Provider

2. Service Description

RoomRaiser provides a data collection and calculation service aimed at optimizing room price offers through our proprietary software platform. Our services include:

• Room price optimization calculations based on your property data and market information
• Access to pricing recommendations through our web-based interface at app.roomraiser.com
• Integration with your Property Management System (PMS) where technically feasible
• Daily pricing calculations with standard limits as specified in your service agreement
• Technical and professional support during business hours (9:00 AM - 6:00 PM, weekdays)

3. User Obligations

3.1 Payment Terms

You agree to pay all applicable fees as specified in your service agreement. Payment is due within 8 days of invoice issuance. Failure to pay may result in service suspension or termination.

3.2 Cooperation Requirements

You must:

• Provide accurate and complete information necessary for service delivery
• Grant necessary access permissions for PMS integration
• Report changes to room inventory or property data within 3 calendar days
• Participate in consultations and setup meetings as required
• Comply with usage limits and pay additional fees for excess calculations

4. Service Delivery

4.1 Performance Standards

We commit to providing services with professional diligence and in accordance with industry standards. Service delivery includes:

• Continuous service availability throughout the agreement term
• Daily price calculations within specified limits
• Three weeks of initial consultation support for parameter setup
• Quarterly consultation sessions at no additional charge

4.2 Integration Requirements

5. Fees and Billing

• Service fees are calculated based on the number of rooms under management
• Monthly invoices are issued in advance by the 5th of each month
• Additional fees apply for calculations exceeding daily limits
• Fees may be adjusted annually based on Eurostat consumer price index
• All fees include applicable taxes and charges

6. Intellectual Property Rights

6.1 RoomRaiser Software

The RoomRaiser software, algorithms, and related intellectual property remain our exclusive property. We grant you a limited, non-exclusive license to use our software solely for the purposes outlined in your service agreement.

6.2 Your Data

You retain ownership of your property data. We may use anonymized and aggregated data for service improvement and market analysis purposes.

7. Data Protection and Privacy

We process personal and business data in full compliance with:

• General Data Protection Regulation (GDPR)
• Hungarian Act CXII of 2011 on Informational Self-Determination
• Other applicable data protection legislation

Where personal data processing is involved, we will execute a separate Data Processing Agreement as required by GDPR Article 28.

8. Confidentiality

Both parties agree to maintain strict confidentiality regarding:

• Business information, data, and trade secrets
• Pricing strategies and competitive information
• Technical specifications and operational details
• Any information obtained through the service relationship

This confidentiality obligation continues indefinitely, even after termination of services.

9. Limitation of Liability

9.1 General Limitations

Except for damages caused intentionally or affecting human life, health, or physical integrity, our liability is limited to one month's net service fee for any single incident.

9.2 Excluded Damages

We are not liable for:

• Indirect or consequential damages
• Lost profits or business opportunities
• Data loss due to improper use
• Damages from user-configured parameter settings
• Issues arising from calculations exceeding daily limits

10. Term and Termination

10.1 Agreement Duration

Service agreements continue for an indefinite period unless terminated by either party with 30 days' written notice.

10.2 Immediate Termination

Either party may terminate immediately for:

• Material breach of contract obligations
• Violation of confidentiality terms
• Non-payment of fees (Service Provider)
• Significant service failures (Client)

10.3 Data Retention

Upon termination, we may retain business data indefinitely but will disable system integrations. Personal data will be processed according to our Privacy Policy and applicable law.

11. Force Majeure

Neither party is liable for delays or failures due to circumstances beyond their reasonable control, including natural disasters, wars, government actions, or other force majeure events.

12. Governing Law

These Terms are governed by Hungarian law. Disputes will be resolved through:

1. Good faith negotiations for 30 days
2. Hungarian court proceedings if negotiations fail
3. Special procedures for payment disputes as provided by law

We may update these Terms & Conditions periodically. Material changes will be communicated via email or through our platform. Continued use of our services constitutes acceptance of updated terms.

15. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full effect. Invalid provisions will be replaced with valid terms that most closely reflect the original intent.
